Terms and Conditions
Effective Date: March 17, 2017
Last Updated: July 1, 2026
These Terms and Conditions, together with any documents, policies, enrollment agreements, disclosures, and other terms incorporated by reference, govern your access to and use of websites, landing pages, forms, portals, learning platforms, communications, products, and services owned, operated, or made available by Prosper Consulting Inc., doing business as The Tech Academy.
Please read these Terms carefully. By accessing or using our websites, submitting a form, creating an account, communicating with us, enrolling in a program, purchasing services, or otherwise using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you should not access or use our websites or services.
1. Company Identity
The websites and services are operated by Prosper Consulting Inc., an Oregon corporation doing business as The Tech Academy.
For purposes of these Terms, "The Tech Academy," "we," "us," and "our" refer to Prosper Consulting Inc., including its DBAs, brands, websites, programs, employees, contractors, representatives, agents, affiliates, and authorized service providers.
The Tech Academy may operate under multiple brand names, trade names, or DBAs, which may include, without limitation, The Tech Academy, The Sales Academy, and Prosper I.T. Consulting. These names are owned or operated under Prosper Consulting Inc. unless otherwise stated.
These Terms apply to websites and domains owned or operated by Prosper Consulting Inc., including, without limitation:
- https://thetech.academy
- https://thetechacademy.us
- https://salesacademy.us
- https://www.techacademy.international/
- Any related subdomains, landing pages, student portals, forms, or online services owned or operated by Prosper Consulting Inc.
2. Scope of These Terms
These Terms govern general use of our websites and online services.
Certain programs, courses, enrollments, payment plans, scholarships, discounts, financing arrangements, career services, student services, and other offerings may be governed by separate written agreements, disclosures, school catalog terms, enrollment agreements, financing agreements, refund policies, privacy policies, or other documents.
If there is a conflict between these Terms and a signed student enrollment agreement, school catalog, state-required disclosure, refund policy, financing agreement, or other written agreement specific to a student's enrollment, the more specific document will control for that subject matter.
These Terms do not replace any legally required student enrollment agreement, cancellation policy, refund policy, state-required notice, student grievance process, or other document required by applicable law.
3. Educational Services
The Tech Academy provides education, training, instructional materials, career-related resources, technology-related learning programs, and related services.
Program names, course content, curriculum, schedules, instructional methods, duration estimates, tuition, fees, discounts, support options, technologies covered, and availability may change at any time, subject to applicable law and any signed enrollment agreement.
We may update, revise, replace, remove, or reorganize curriculum, assignments, lessons, tools, technologies, platforms, resources, instructors, support systems, or course materials to improve the student experience, reflect current industry practices, respond to software changes, or meet operational needs.
4. No Guarantee of Employment, Income, Certification, Licensing, or Results
The Tech Academy may provide education, training, projects, career services, job-search support, portfolio guidance, interview preparation, resume support, networking resources, or other career-related assistance.
However, unless expressly stated in a signed written agreement, The Tech Academy does not guarantee:
- Employment;
- Job placement;
- Interviews;
- Job offers;
- Promotions;
- Career advancement;
- Income;
- Salary increases;
- Freelance work;
- Business opportunities;
- Professional licensing;
- Third-party certifications;
- Completion of a program;
- Mastery of any specific technology;
- Admission into any program;
- Graduation;
- Any particular educational, professional, personal, or financial outcome.
Student success depends on many factors outside our control, including effort, attendance, communication, aptitude, prior experience, time commitment, professionalism, market conditions, location, employer requirements, background checks, interview performance, portfolio quality, economic conditions, and the student's ability to complete required work.
Any salary data, employment data, graduate examples, testimonials, or career outcomes provided on our websites or in our materials are for informational purposes only and are not promises or guarantees of future results.
5. Testimonials, Reviews, and Graduate Stories
Our websites, advertisements, emails, social media, and marketing materials may include student testimonials, graduate stories, employer references, reviews, or examples of student work.
Testimonials and examples represent individual experiences. They do not guarantee that current or future students will have the same or similar experience, results, employment outcome, income, or career path.
We may edit testimonials for length, clarity, grammar, formatting, or presentation, provided the meaning is not materially changed.
6. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use our services independently.
If you are under 18, you may use our websites or services only with the permission and supervision of a parent or legal guardian. A parent or legal guardian may be required to sign enrollment documents or provide consent before a minor may participate in certain programs.
We do not knowingly collect personal information from children under 13 without legally required parental consent. If we learn that we have collected personal information from a child under 13 without appropriate consent, we will take reasonable steps to delete that information.
7. Accuracy of Information You Provide
You agree that all information you provide to The Tech Academy is accurate, current, complete, and not misleading.
This includes information provided through contact forms, enrollment forms, student portals, payment systems, applications, surveys, emails, text messages, phone calls, or other communications.
You agree to promptly update information that becomes inaccurate or outdated, including your name, phone number, email address, mailing address, billing information, emergency contact information, and any other information reasonably needed to provide services.
The Tech Academy is not responsible for missed communications, enrollment issues, billing issues, account issues, or service interruptions caused by inaccurate or outdated information provided by you.
8. Accounts, Passwords, and Student Portals
You may be required to create an account or receive login credentials to access certain services, course materials, student portals, communication systems, or resources.
You are responsible for maintaining the confidentiality of your username, password, login credentials, and account access. You are responsible for all activity that occurs under your account.
You agree not to share your account credentials with any unauthorized person. You agree not to allow another person to access course materials, student resources, paid services, or restricted content through your account.
You must notify The Tech Academy promptly if you believe your account has been accessed without authorization or your login credentials have been compromised.
We reserve the right to suspend, restrict, reset, or terminate account access if we believe there has been unauthorized access, misuse, security risk, violation of these Terms, violation of a student agreement, or other conduct that may harm The Tech Academy, our students, our systems, or third parties.
9. Contact Forms and Consent to Be Contacted
When you submit a contact form, request information, download materials, schedule a call, apply for a program, create an account, enroll, or otherwise provide your contact information to The Tech Academy, you authorize us to contact you using the contact information you provide.
We may contact you by phone, email, text message, mail, student portal message, or other communication methods, subject to applicable law.
Communications may include information about programs, admissions, tuition, discounts, enrollment steps, student services, career services, events, account access, technical support, updates, reminders, and other information related to The Tech Academy.
You represent that any phone number, email address, or mailing address you provide belongs to you or that you are authorized to provide it.
10. Telephone, SMS, and Text Message Terms
By providing your mobile phone number and affirmatively consenting where required, you agree that The Tech Academy may send you text messages and call you regarding admissions, programs, enrollment, student services, account access, events, reminders, promotions, and other information related to The Tech Academy.
Text messages may be sent using automated technology, autodialer technology, artificial or prerecorded voice technology, or non-automated methods, where permitted by law.
Your consent to receive marketing calls or text messages is not required as a condition of purchasing any goods or services, enrolling in a program, or receiving educational services from The Tech Academy.
Message frequency varies. Message and data rates may apply. Your wireless carrier may charge you according to your mobile plan. Carriers are not liable for delayed or undelivered messages.
You may opt out of text messages at any time by replying STOP. After you send STOP, we may send one confirmation message to confirm that you have been unsubscribed. After that, we will not send additional marketing text messages to that number unless you opt in again.
For help, reply HELP or contact us at [email protected].
You may also revoke consent by contacting us directly at [email protected] or by using any other reasonable method that clearly communicates your request to stop receiving calls or text messages.
If you change, transfer, deactivate, or stop using a mobile number that you previously provided to The Tech Academy, you agree to notify us before the number is reassigned or transferred. You may notify us by replying STOP from the original number or by emailing [email protected].
We may update, modify, suspend, or terminate our text messaging program at any time. Changes will be effective when posted or otherwise made available.
11. Email Communications and Marketing
By providing your email address, you agree that The Tech Academy may send you emails related to programs, admissions, enrollment, account access, student services, educational resources, events, promotions, updates, and other matters related to our services.
You may unsubscribe from marketing emails by using the unsubscribe link provided in the email or by contacting us at [email protected].
Even if you unsubscribe from marketing emails, we may still send non-marketing or transactional emails, including emails related to enrollment, account access, student services, payments, legal notices, policy updates, security, or other administrative matters.
You agree not to mark emails from The Tech Academy as spam if you requested information, enrolled, created an account, or otherwise agreed to receive communications from us, unless you believe the email was sent in error or in violation of applicable law.
12. Electronic Communications and Electronic Signatures
Visiting our websites, submitting forms, creating an account, sending emails, communicating by text message, using a student portal, or electronically signing documents constitutes electronic communication.
You consent to receive communications from The Tech Academy electronically. You agree that agreements, notices, disclosures, consent forms, enrollment documents, receipts, policy updates, and other communications provided electronically satisfy any legal requirement that such communications be in writing, unless applicable law requires otherwise.
You agree that electronic signatures, checkbox consents, typed names, click-through acceptance, form submissions, and other electronic acknowledgments may have the same legal effect as handwritten signatures, to the maximum extent permitted by law.
You are responsible for maintaining a valid email address and access to the technology needed to receive, view, download, and save electronic communications.
13. Tuition, Fees, Payments, and Billing
Tuition, fees, payment schedules, financing options, discounts, scholarships, payment plans, and other charges are governed by the applicable enrollment agreement, invoice, checkout page, payment authorization, financing agreement, school catalog, or written disclosure provided to you.
All tuition and fees must be paid according to the terms stated in the applicable agreement or invoice.
Unless otherwise stated in writing, listed prices do not include taxes, third-party fees, books, equipment, software, internet access, hardware, certification exam fees, optional materials, or other costs that may be the student's responsibility.
We reserve the right to correct pricing errors, typographical errors, or inaccurate information, subject to applicable law and any signed agreement.
If you authorize recurring payments, automatic payments, installment payments, or payment plans, you authorize The Tech Academy or its payment processor to charge the payment method provided according to the authorization you accepted.
You are responsible for keeping your payment information current. Failed payments, chargebacks, disputed payments, expired cards, insufficient funds, or unpaid balances may result in late fees, suspension of access, collections activity, loss of discounts, withholding of certain services, or other remedies permitted by your agreement and applicable law.
14. Refunds, Cancellations, Withdrawals, and Program Changes
Refunds, cancellations, withdrawals, leaves of absence, program transfers, and program changes are governed by the applicable enrollment agreement, school catalog, state-required refund policy, financing agreement, and applicable law.
Nothing in these Terms is intended to limit any refund, cancellation, withdrawal, or student protection right that cannot legally be waived.
If you enroll in a program, you are responsible for reviewing and understanding the cancellation and refund terms before signing the enrollment agreement or making payment.
Website language, marketing language, verbal discussions, or general statements do not override the written enrollment agreement, school catalog, or legally required refund policy.
15. Discounts, Promotions, Scholarships, and Special Offers
The Tech Academy may offer discounts, scholarships, promotional pricing, limited-time offers, grants, tuition reductions, or other special offers.
Unless otherwise stated in writing, promotions are discretionary, limited-time, non-transferable, not redeemable for cash, and may not be combined with other offers.
The Tech Academy may modify, extend, withdraw, or discontinue promotions at any time, subject to applicable law and any written agreement already signed by the student.
A promotional offer does not guarantee admission, enrollment, graduation, employment, or any particular outcome.
16. Technology Requirements
Students and users are responsible for obtaining and maintaining the technology needed to access our websites, platforms, courses, meetings, communications, and online resources.
This may include a reliable computer, internet connection, webcam, microphone, updated browser, software, email account, mobile phone, and any other technology described in the applicable enrollment agreement, catalog, or course materials.
The Tech Academy is not responsible for delays, missed classes, incomplete work, inability to access materials, or other issues caused by a user's inadequate equipment, poor internet connection, outdated software, device problems, security settings, or third-party service interruptions.
17. Student Conduct and Acceptable Use
You agree to use our websites, services, course materials, communication systems, and platforms only for lawful, authorized, and appropriate purposes.
You agree not to:
- Violate any applicable law, rule, or regulation;
- Harass, threaten, abuse, defame, intimidate, or discriminate against any person;
- Interfere with another student's learning experience;
- Share, sell, publish, copy, distribute, or make unauthorized use of course materials;
- Cheat, plagiarize, submit work that is not your own, or misrepresent your work;
- Use another person's login credentials;
- Allow unauthorized users to access paid or restricted materials;
- Attempt to gain unauthorized access to systems, accounts, data, or networks;
- Upload malicious code, malware, viruses, spyware, or harmful files;
- Scrape, crawl, mine, harvest, or extract data without authorization;
- Reverse engineer, copy, modify, or exploit any software, platform, content, or system;
- Use our services to send spam, unlawful communications, or deceptive content;
- Disrupt, overload, damage, impair, or interfere with our websites, systems, platforms, or services;
- Use our name, logos, materials, or trademarks without permission;
- Misrepresent your affiliation with The Tech Academy;
- Engage in conduct that The Tech Academy determines, in its reasonable discretion, is harmful to students, staff, instructors, systems, operations, reputation, or third parties.
Violation of this section may result in suspension, termination, removal from a program, loss of access, academic consequences, legal action, or other remedies available under applicable agreements and law.
18. Academic Integrity
Students are expected to complete their own work unless collaboration is expressly permitted.
You may not submit work created by another person as your own. You may not purchase, copy, plagiarize, or misrepresent assignments, projects, assessments, code, written work, or other submissions.
Use of artificial intelligence tools, code assistants, tutoring resources, online forums, templates, or third-party assistance must comply with The Tech Academy's academic policies, course instructions, and instructor guidance.
The Tech Academy may review work for originality, plagiarism, improper collaboration, unauthorized AI use, or other academic-integrity concerns.
Academic-integrity violations may result in required resubmission, loss of credit, suspension, dismissal, withholding of completion documents, or other consequences permitted by school policy and applicable law.
19. Artificial Intelligence Tools and Automated Support
The Tech Academy may use, teach, recommend, or provide access to artificial intelligence tools, chatbots, automated support systems, code assistants, learning aids, or similar technologies.
AI tools may produce inaccurate, incomplete, outdated, biased, or inappropriate responses. AI-generated information is not a substitute for official course instructions, instructor guidance, professional advice, or independent judgment.
Students and users are responsible for reviewing, testing, verifying, and understanding any AI-assisted content, code, explanation, recommendation, or output before relying on it.
You agree not to enter confidential, sensitive, private, regulated, proprietary, or third-party information into unauthorized AI tools or third-party platforms.
The Tech Academy may update its AI-related policies as technology, law, and educational practices evolve.
20. Intellectual Property
All content, materials, curriculum, lessons, videos, text, graphics, logos, images, designs, downloads, documents, software, code samples, assignments, quizzes, tests, templates, databases, compilations, trade names, trademarks, service marks, and other materials made available by The Tech Academy are owned by The Tech Academy, its licensors, or its suppliers and are protected by copyright, trademark, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms and any applicable enrollment agreement, The Tech Academy grants you a limited, revocable, non-exclusive, non-transferable license to access and use course materials and website content solely for your personal, educational, non-commercial use.
You may not copy, reproduce, publish, distribute, sell, resell, sublicense, transfer, modify, create derivative works from, publicly display, publicly perform, upload, share, or otherwise exploit The Tech Academy materials without prior written permission.
You may not use The Tech Academy materials to create, train, improve, or operate a competing school, course, tutoring service, AI model, software product, curriculum, boot camp, or commercial training program.
All rights not expressly granted are reserved.
21. User Content, Student Work, and Feedback
You may submit information, messages, assignments, projects, code, comments, reviews, feedback, testimonials, images, videos, or other content to The Tech Academy.
You represent that you own or have the necessary rights to submit such content and that your submission does not violate the rights of any third party.
You retain ownership of your original student work, subject to any rights granted to The Tech Academy in these Terms, any enrollment agreement, or any separate written consent.
By submitting feedback, suggestions, ideas, comments, testimonials, reviews, or similar content, you grant The Tech Academy a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, display, distribute, and otherwise use that feedback for business, educational, quality-improvement, marketing, and operational purposes, unless prohibited by applicable law or limited by a separate written agreement.
We will not knowingly publish your private student records or personally identifiable student information in violation of applicable law.
22. Privacy
Your use of our websites and services is also governed by our Privacy Policy, available at:
https://thetech.academy/privacy-policy
Our Privacy Policy explains how we may collect, use, disclose, store, and protect personal information.
By using our websites or services, you acknowledge that you have reviewed or had the opportunity to review our Privacy Policy.
23. Student Records
Student records, enrollment records, academic records, payment records, and related information may be collected, maintained, disclosed, retained, or transferred as required or permitted by applicable law, school policy, student authorization, regulatory requirements, accreditor requirements, state agency requirements, or operational necessity.
The Tech Academy may disclose student information to service providers, regulators, payment processors, financing providers, instructors, contractors, advisors, auditors, legal counsel, or other parties as permitted by law and reasonably necessary to provide services, comply with obligations, protect rights, or operate the school.
Students may request access to certain records as provided by applicable law and school policy.
24. Third-Party Services, Platforms, and Links
Our websites and services may link to, integrate with, or rely on third-party websites, platforms, software, tools, payment processors, learning systems, communication systems, video conferencing platforms, job boards, AI tools, cloud providers, analytics providers, social media platforms, and other third-party services.
The Tech Academy does not control and is not responsible for third-party websites, services, policies, content, security, availability, accuracy, fees, or practices.
Your use of third-party services may be subject to separate terms, privacy policies, fees, licenses, or requirements imposed by those third parties.
The inclusion of a third-party link, tool, integration, or service does not imply endorsement by The Tech Academy.
25. Availability, Errors, and Changes to Services
We strive to keep our websites and services available and accurate, but we do not guarantee uninterrupted, error-free, secure, or always-available access.
Our websites, portals, platforms, course materials, or services may be unavailable, delayed, interrupted, modified, suspended, or discontinued due to maintenance, updates, technical issues, security events, provider outages, staffing changes, curriculum updates, legal requirements, or other reasons.
We may correct errors, inaccuracies, omissions, typographical mistakes, outdated information, or technical issues at any time.
We may modify, replace, update, suspend, or discontinue any website, feature, platform, program, course, service, or content, subject to applicable law and any signed enrollment agreement.
26. Accessibility
The Tech Academy is committed to providing access to its websites and services in a manner consistent with applicable accessibility laws and reasonable business practices.
If you experience difficulty accessing any part of our website or services, please contact us at [email protected] or 503.206.6915 so we can review the issue and, where appropriate, provide assistance or an alternative method of access.
27. Compliance With Laws
You agree to comply with all applicable federal, state, local, and international laws, rules, and regulations when using our websites and services.
You may not use our websites, content, platforms, or services in any jurisdiction or manner where such use would be unlawful.
28. International Users
The Tech Academy is operated from the United States.
If you access our websites or services from outside the United States, you are responsible for compliance with local laws.
You acknowledge that information you provide may be transferred to, processed in, and stored in the United States or other locations where our service providers operate.
29. Disclaimer of Warranties
To the maximum extent permitted by law, our websites, services, content, platforms, communications, materials, and related information are provided on an "as is" and "as available" basis.
The Tech Academy disclaims all warranties and conditions of any kind, whether express, implied, statutory, or otherwise, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted operation.
We do not warrant that our websites, platforms, content, services, communications, or materials will be error-free, secure, uninterrupted, current, complete, accurate, or free of viruses or harmful components.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above limitations may not apply to you.
30. Limitation of Liability
To the maximum extent permitted by law, The Tech Academy and its owners, officers, directors, employees, contractors, instructors, representatives, agents, affiliates, licensors, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including, without limitation, loss of profits, loss of income, loss of employment opportunity, loss of data, loss of goodwill, business interruption, personal device issues, or educational or career outcomes, arising from or related to your use of or inability to use our websites, services, materials, communications, or platforms.
To the maximum extent permitted by law, The Tech Academy's total liability for claims arising out of or related to the websites or these Terms will not exceed the greater of:
- The amount you paid directly to The Tech Academy for the specific website-based service giving rise to the claim during the three months before the claim arose; or
- One hundred dollars.
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
Nothing in these Terms is intended to limit legally required student refund rights, cancellation rights, or consumer protection rights that cannot be waived.
31. Indemnification
You agree to indemnify, defend, and hold harmless The Tech Academy, Prosper Consulting Inc., and their owners, officers, directors, employees, contractors, instructors, representatives, agents, affiliates, licensors, suppliers, and service providers from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising out of or related to:
- Your use or misuse of our websites, services, materials, platforms, or communications;
- Your violation of these Terms;
- Your violation of any applicable law;
- Your violation of any third-party rights;
- Content, information, work, code, files, or materials you submit;
- Your unauthorized use or disclosure of The Tech Academy materials;
- Your negligent, fraudulent, unlawful, or intentional misconduct.
The Tech Academy reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
32. Informal Dispute Resolution
Before filing any claim, arbitration, lawsuit, or other proceeding, you agree to first contact The Tech Academy at [email protected] and provide a written description of the dispute, the relief requested, and your contact information.
The parties agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice is received, unless emergency relief is needed or applicable law requires otherwise.
33. Arbitration Agreement
Please read this section carefully. It may affect your legal rights.
Except as otherwise stated in these Terms, prohibited by applicable law, or governed by a separate written agreement that contains a different dispute-resolution provision, any dispute, claim, or controversy arising out of or relating to these Terms, the websites, online services, communications, or your relationship with The Tech Academy will be resolved by final and binding arbitration.
The arbitration will be administered by the American Arbitration Association or another mutually agreed arbitration provider under the applicable consumer or commercial arbitration rules.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitration may be conducted by telephone, video conference, written submissions, or in person in Multnomah County, Oregon, unless the arbitrator determines another location or format is required by applicable law.
The arbitrator will have authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that any dispute about the class action waiver must be decided by a court of competent jurisdiction.
The arbitrator may award any individual relief available in court, subject to the limitations and terms in these Terms and applicable law.
Judgment on the arbitration award may be entered in any court with jurisdiction.
34. Exceptions to Arbitration
The arbitration agreement does not prevent either party from:
- Bringing an individual claim in small claims court if the claim qualifies;
- Seeking temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, trade secrets, security, systems, or unauthorized use of materials;
- Reporting concerns to a government agency;
- Participating in a government agency investigation;
- Exercising rights that cannot legally be waived or required to be arbitrated.
35. Class Action, Collective Action, and Representative Action Waiver
To the maximum extent permitted by law, you and The Tech Academy agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff, class member, collective member, private attorney general, or representative in any class, collective, consolidated, representative, or private attorney general action.
The arbitrator may not consolidate the claims of multiple individuals or preside over any class, collective, consolidated, representative, or private attorney general proceeding unless both parties agree in writing or applicable law requires otherwise.
If this class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief may be severed and heard in court, while any remaining claims subject to arbitration will be arbitrated individually.
36. Opt-Out of Arbitration
You may opt out of the arbitration agreement by sending written notice to The Tech Academy within 30 days after you first become subject to these Terms.
Your opt-out notice must include your full name, mailing address, email address, phone number, and a clear statement that you wish to opt out of arbitration.
Send the notice to:
Prosper Consulting Inc., DBA The Tech Academy
310 SW 4th Ave, Suite 440
Portland, Oregon 97204
Email: [email protected]
Opting out of arbitration will not affect any other part of these Terms.
37. Governing Law and Venue
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement.
Subject to the arbitration agreement, any court proceeding arising out of or relating to these Terms or the websites must be brought in the state or federal courts located in Oregon, unless applicable law requires a different venue.
You consent to the personal jurisdiction and venue of those courts.
38. Termination and Access Restriction
The Tech Academy may suspend, restrict, or terminate your access to websites, accounts, portals, materials, or services at any time if we believe you have violated these Terms, violated a student agreement, created a security risk, failed to pay amounts owed, misused services, disrupted operations, infringed intellectual property rights, engaged in misconduct, or otherwise acted in a manner harmful to The Tech Academy, students, staff, systems, or third parties.
Termination or suspension does not waive any rights or remedies available to The Tech Academy.
Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, arbitration, governing law, and any other provisions necessary to enforce these Terms.
39. Changes to These Terms
The Tech Academy may update or modify these Terms at any time.
The most current version will be posted on our website and will supersede prior versions.
Changes are effective when posted unless a later effective date is stated.
Your continued use of our websites or services after updated Terms are posted means you accept the updated Terms.
If a material change affects an existing student enrollment agreement, payment obligation, refund right, or other signed agreement, the signed agreement and applicable law will control unless the student affirmatively agrees otherwise.
40. Assignment
You may not assign or transfer your rights or obligations under these Terms without prior written consent from The Tech Academy.
The Tech Academy may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, change of control, corporate restructuring, or transfer of business operations.
41. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible.
The remaining provisions will continue in full force and effect.
42. No Waiver
The failure of The Tech Academy to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of The Tech Academy.
43. Entire Agreement
These Terms, together with any incorporated policies and applicable written agreements, constitute the entire agreement between you and The Tech Academy regarding your use of the websites and general online services.
These Terms supersede prior or contemporaneous communications regarding the same subject matter, except for signed enrollment agreements, school catalogs, state-required disclosures, financing agreements, privacy policies, or other specific written agreements that govern particular services.
44. Contact Information
The Tech Academy welcomes questions or comments regarding these Terms.
